These terms govern your use of this website. Access to the Aayu OS platform itself is governed by the Clinic Participation Agreement your practice accepts at signup.

Who we are

The Aayu OS platform and this website are operated by Om Healthcare Inc., a United States corporation with its principal place of business at 20330 N Deer Park Blvd, Suite 130, Deer Park, Illinois 60010. In these terms, "Om Healthcare", "we", "us", and "our" mean Om Healthcare Inc., and "Aayu OS" means the platform and this website.

Om Healthcare Inc. is a technology company. It is not a pharmacy, a medical practice, or a healthcare provider. It does not compound, dispense, ship, or warehouse medication, it does not take title to medication at any point, and it does not practise medicine or pharmacy.

What these terms cover

These terms govern your use of this website. Access to the Aayu OS platform itself is governed by the Clinic Participation Agreement, which an authorized representative of your practice accepts when your practice signs up, or by a separate written agreement we have signed with you.

Where these website terms and that agreement differ on any subject the agreement covers, the agreement governs.

Pharmacies that fulfill orders on the network do so under a separate Pharmacy Fulfillment and Network Participation Agreement, not under these terms.

By using this website you agree to these terms. If you do not agree, please do not use it.

What the platform does

Aayu OS is software that lets a licensed provider practice order medications for individually named patients, routes each order to a licensed dispensing pharmacy, tracks fulfillment, and bills the practice.

On every order, the dispensing pharmacy is the seller of record for the medication. Om Healthcare Inc. acts as that pharmacy's limited collection agent for the medication portion of the payment, and separately charges your practice a platform service charge for the software and services it provides. Payment to Om Healthcare Inc. discharges your practice's payment obligation for the order.

Network pharmacies are independent, separately licensed entities that exercise their own professional judgment. They are not our agents, our employees, or our subcontractors.

The platform does not process orders or payment for controlled substances.

Who may use the platform

The Aayu OS platform is for licensed provider practices in the United States and for the licensed pharmacies that fulfill their orders. It is not for consumers or patients.

To hold an account you must be at least eighteen years old, be authorized by your practice to act on its behalf, and use your own individual credentials. Credentials must not be shared. Only prescribers may create or amend the clinical fields on an order, using their own credentials.

Your practice is responsible for deactivating a user promptly when that person no longer needs access, and for everything done under its users' credentials.

Clinical responsibility and compounded medications

Nothing on this website or in the platform is medical advice, a recommendation to prescribe, or a substitute for a prescriber's professional judgment. We do not have a clinician and patient relationship with anyone.

The prescriber is solely responsible for the practice of medicine, for the prescriber and patient relationship, for compliance with the telehealth and licensure rules that apply where the patient is located, and for informed consent.

Compounded medications are not FDA approved. They are not reviewed by the FDA for safety, effectiveness, or manufacturing quality before they are dispensed. Prescribers are responsible for telling patients this and for the documentation their own state and federal obligations require.

Acceptable use of this website

Please do not do any of the following with this website:

  • Break any law, or use it to help anyone else break one.
  • Attempt to gain unauthorized access to any part of it, or to any account, system, or network connected to it.
  • Probe, scan, or test its security without our prior written permission.
  • Scrape, crawl, or harvest from it at a rate or volume that degrades it for anyone else.
  • Introduce malware, or anything else designed to interfere with it.
  • Misrepresent who you are or which organization you are acting for.

If you believe you have found a security vulnerability, please tell us at support@aayuos.com rather than disclosing it publicly. We will acknowledge you and tell you what we are doing about it.

Intellectual property

This website and its contents, including its text, design, graphics, and the Aayu OS name and logo, are owned by Om Healthcare Inc. or its licensors and are protected by intellectual property law.

You may view and print pages from this website for the ordinary purpose of evaluating or using our services. You may not otherwise copy, republish, or create derivative works from it without our written permission.

Product names, formulations, and marks belonging to other companies are the property of their respective owners, and their appearance here does not imply any endorsement or affiliation.

Third-party sites

This website may link to sites we do not control, including the Aayu OS portal sign-in page and pages belonging to network pharmacies. We are not responsible for their content, their practices, or their privacy policies. Your use of them is governed by their terms, not ours.

Availability and changes

We may change, suspend, or discontinue any part of this website at any time. We try to keep it available and accurate, but we do not promise that it will be uninterrupted, error free, or current at every moment.

Descriptions of the platform, the formulary, and service levels on this website are for information. The formulary in particular can change without notice if a shortage status, an FDA policy, or an eligibility determination changes. What your practice is entitled to is set by your Participation Agreement, not by a marketing page.

Disclaimers

This website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Om Healthcare Inc. disclaims all warranties of any kind with respect to this website, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

This section applies to this website. It does not limit any right your practice has under its Participation Agreement, including its rights under the reshipment and credit policy, and it does not limit any right you or your patients may have against a dispensing pharmacy in relation to a product it dispensed.

Limitation of liability

To the fullest extent permitted by law, Om Healthcare Inc. will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of this website, whether based in contract, tort, or any other theory, and whether or not we were advised of the possibility.

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited. Liability arising in connection with your practice's use of the Aayu OS platform is governed by the limitations in your Participation Agreement rather than by this section.

Governing law and disputes

These terms are governed by the laws of the State of Illinois, without regard to its conflict of laws rules.

Any dispute arising out of or relating to these terms or to this website will be resolved by confidential binding arbitration before a single arbitrator administered by the American Arbitration Association in Chicago, Illinois, under its Commercial Arbitration Rules. The prevailing party is entitled to its reasonable fees and costs.

You and Om Healthcare Inc. each waive any right to bring or participate in a class, collective, or representative proceeding. Either party may still seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

Changes to these terms

We may update these terms. The effective date at the top of this page always reflects the current version. If you continue to use this website after we post a change, you accept the updated terms.
